STANDARD TERMS AND CONDITIONS OF SALE
1. Definitions
In these Terms and Conditions:
“Seller” means Notalium Gallery, including its subsidiaries and affiliates.
“Buyer” means the person, firm, or company purchasing the Goods.
“Goods” means the products or services supplied by the Seller to the Buyer.
2. Application
These Terms and Conditions apply to all sales by the Seller to the Buyer and shall prevail over any terms put forward by the Buyer, unless expressly agreed in writing by the Seller.
3. Quotations and Orders
All quotations are valid for 30 days unless otherwise stated. Orders are subject to acceptance by the Seller in writing.
4. Price and Payment
4.1 Prices are exclusive of any taxes, duties, or charges unless otherwise stated.
4.2 Payment must be made within 30 days from the date of invoice, unless agreed otherwise in writing.
4.3 Interest may be charged on overdue payments at a rate of 9% per annum.
5. Delivery
5.1 Delivery dates are estimates only and time is not of the essence.
5.2 The Seller shall not be liable for any delay or failure in delivery caused by circumstances beyond its reasonable control.
5.3 Risk in the Goods passes to the Buyer upon delivery.
6. Title
Title to the Goods shall not pass to the Buyer until full payment is received by the Seller.
7. Inspection and Acceptance
The Buyer must inspect the Goods immediately upon delivery and notify the Seller in writing of any damage or shortage within 7 days.
8. Warranty
8.1 The Seller warrants that the Goods will conform in all material respects to the agreed specifications at the time of delivery.
8.2 The Seller’s liability under this warranty is limited to repairing or replacing defective Goods or issuing a credit note.
9. Limitation of Liability
9.1 The Seller shall not be liable for any indirect, consequential, or special losses.
9.2 The Seller’s total liability shall not exceed the price paid for the Goods giving rise to the claim.
10. Force Majeure
The Seller shall not be liable for any delay or failure in performing its obligations due to events beyond its reasonable control, including but not limited to acts of God, war, natural disasters, or governmental restrictions.
11. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of Indonesia. Any dispute shall be resolved exclusively by the courts of Indonesia.
12. Miscellaneous
12.1 No variation of these Terms and Conditions shall be valid unless agreed in writing by the Seller.
12.2 If any provision is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
